Phase 1: Strategic Preparation

Naming Your Entity: Your name is your brand, but it must also be legally distinct.

Your LLC name must be distinguishable from every other entity in the state.

The name must include "Limited Liability Company," "L.L.C.," or "LLC."

New York State law mandates that you publish a notice of your LLC formation in two newspapers within that county.

State law says that the county of formation does not need to be where your business activities are physically conducted. If your registered agent is located in a lower-cost county, you can list their county to significantly reduce your publication costs.

Phase 3: Publication Compliance For Existing LLCs
Once your LLC is active, you have 120 days to publish legal notices in two newspapers.
Scenario 1: You filed in an affordable county

You can transfer your county to your registered agent's county, which may be more affordable.

File a Certificate of Change (for $30, plus an extra $25 if you need expedited processing) to transfer your county to your registered agent's county.

Once published, you can optionally file a second Certificate of Change to transfer your county back to the original county.
Compare this to the significantly higher cost of publishing in the original county.
Once you meet your publication requirement, you will file a Certificate of Publication and a $50 fee to New York State.
Phase 4: Critical Next Steps (Post-Filing)
Filing your Articles is just the beginning.
